Emergo may bring suit against any individual or entity for violation of these Terms of Use in the federal or state courts located in Austin, Texas, United States of America or in the jurisdiction of the defendant. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts for such actions. In the event Emergo files a suit for violation of these Terms of Use (which may be in conjunction with other claims) which results in a finding that the defending party violated the Terms of Use, the defending party will be responsible for Emergo"s legal fees, costs, and expenses incurred in connection with the action, in addition to any and all damages awarded to Emergo.

Any legal action or proceeding against Emergo or its representatives in any way related to the Website, these Terms of Use, or the Privacy Policy must be instituted exclusively in the federal or state courts located in Austin, Texas, United States of America.

These Terms of Use are governed by and shall be construed in accordance with the laws of the State of Texas, United States of America, without regard to any conflicts of law principles.

Any failure by Emergo to assert a right or provision under these Terms of Use shall not constitute a general waiver of such right or provision.

If a tribunal of competent jurisdiction finds any provision of these Terms of Use invalid or unenforceable, such provision shall be reformed to the minimal extent necessary to preserve its intent and render it valid and enforceable, and if reformation is not practicable, the invalid provision shall be severed, and the balance of the Terms of Use shall remain enforceable to the full extent permitted by law.
